BY-LAWS

 

CONSTITUTION & BY LAWS

CENTRAL NEW YORK ASSOCIATION OF CHIEFS OF POLICE. INC.

PREAMBLE: Recognizing that as Law Enforcement Executives, we (the members of the Central 
New York Association of Chiefs of Police) acknowledge and declare our responsibilities, and do unite 
to attain our stated purposes and goals.

The Central New York Association of Chiefs of Police shall include the following counties of Central 
New York:

Cayuga      Herkimer      Onondaga

Chenango      Jefferson      Oswego

Cortland      Madison      Otsego

Hamilton      Oneida      Tompkins

ARTICLE I PURPOSE AND GOALS

A. Purpose:

To promote and develop professional administration of law enforcement agencies in order to 
improve the quality of police service to the public.

B. Goals

1. To professionalize the police service and achieve commensurate recognition.

2. To improve inter-agency communication and cooperation.

3. To establish uniformity of standards.

4. To promote effective legislative for the safety and general welfare of the public.

5. To advance the general welfare of the police profession.

6. To promote public education and understanding of the police function.

 

ARTICLE II CLASSIFICATION OF MEMBERSHIP

A. The Central New York Association of Chiefs of Police, Inc. (hereafter CNYACP) shall consist of 
six classes of members, to wit:

1. Active membership

2. Associate membership

3. Retired active membership

4. Retired associate membership

5. Honorary membership

6. Life Membership

B. Active Membership*

Consist of:

1. The Chief or Commissioner of Police, who is the administrative head and commanding officer 
of an organized police department within the CNYACP Region, including the Chiefs of the 
Regional State Park Police, Environmental Conservation Police, or State University of New York 
Campus Police.

A Deputy Chief, Assistant Chief, or Second-in-Command of a police department within the 
CNYACP Region, when recommended by their Chief or Commissioner of Police.

3. New York State Police Command Officers of the rank of Captain or above within the 
CNYACP region.

4. The sworn administrative head or C.E.O. of any authorized police department within 
the CNYACP region regardless of rank structure.

5. The Special Agent or Officer in Charge of a regional office of a Federal Law Enforcement 
Agency within the CNYACP region.

6. District Attorney of CNYACP counties.

7. The Sheriff of a CNYACP county. Also, with the permission of the Sheriff, the Undersheriff 
and any other Chief or Assistant Chief of a Sheriff's Office within the CNYACP region.

8. The Second-in-Command of above categories 5-6.

9. The Officer-in-Charge of Military Law Enforcement Agencies within the CNYACP region.

10. The Chief of Police, Superintendent or Commanding Officer of a Railroad Police Department, 
within the CNYACP region, whose members are appointed pursuant to Section eight-eight of 
the Railroad Law.**

11. The Administrative Head of any University or College Campus department of public safety 
whose members are appointed as peace officers pursuant to Section 2.10 of the Criminal 
Procedure Law. **

* New applicants for active membership shall fill out the application, with the signature of 
an active member in good standing, on a standard form, for investigation, recommendation, 
and approval of the membership.

** When recommended by an active member of the Association who has concurrent jurisdiction.

C. Associate Membership*

Consists of:

1. Managers, Directors, Chiefs, or their immediate assistant of:

a) Industrial or Commercial Security, within the CNYACP region.

b) Bank Security, within the CNYACP region.

c) University and College Security, within the CNYACP region, not eligible under Section B.

d) Hospital Security, within the CNYACP region.

e) Any Criminal Justice Agency, within the CNYACP region, not included under Active Membership.

f) Any Regional Office of a State or Federal Regulatory Agency within the CNYACP region.

2. Command level Officers of the agencies listed under Section B, who are not eligible for 
Active Membership.

* Associate Membership applicants shall fill out the application form with the signature of an 
active or associate member in good standing, and submit same to the Membership Committee, 
for investigation, recommendation, and approval of the membership.

D. Retired Active Members

1. Must retire while an active Member in good standing of the CNYACP.

2. Shall be given membership at ½ the annual dues amount.

3. Upon becoming eligible for Social Security, dues shall be waived.

 

E. Retired Associate Members

1. Must retire while an Associate Member in good standing of the CNYACP.

2. Shall be given membership at ½ the annual dues amount.

3. Upon becoming eligible for Social Security, dues shall be waived.

F. Life Membership

1. Granted to all Active, or Retired Active, and Associate or Retired Associate Members of the 
Association upon completion of twenty years of service as a member in good standing.

3. Upon becoming eligible for Life Membership, dues shall be waived.

4. Explusion process shall still apply.

G. Honorary Members

1. Shall be recommended by a Voting Member in good standing of the CNYACP who shall provide 
the data on a standard form.

2. Shall not be assessed dues.

H. Voting Members

Active, Associate, Retired Active, Retired Associate members, and Life Members, who are in good 
standing with the Association, are voting members.

I. Member in Good Standing

A member in Good Standing is one who complies with the requirements of the CNYACP By-Law.

ARTICLE III BOARD OF OFFICERS

A. Board of Officers:

1. President

2. Vice President

3. Secretary

4. Treasurer

5. Immediate Past President

B. Qualification of the Board of Officers

1. Active Members, as defined in Article II, B-1 in good standing shall fill the office of President and 
the Vice President.

2. All other officers may be filled by any member in good standing, except Honorary Members.

C. Duties of the Board of Officers

1. Duties of the President:

a) He must conduct all regular and special meetings of the Association.

b) He must appoint:

1) The Sergeant-at Arms, and

2) The standing and special committee members and chairpersons.

c) He shall serve as Chairperson of the Board of Directors.

d) He shall call special meetings as he deems necessary, or upon receipt of a written request of five 
or more voting members in good standing for a special meeting. The request for a special meeting 
shall set forth the reason(s) for such meeting, and no other discussions or debates shall be permitted 
other than the reason(s) stated in the request. The Association membership, except Honorary 
Members, shall receive timely written notice prior to any such meeting.

e) He or his designee shall serve as ex-official member on all official boards, committees or commissions 
of CNYACP.

f) He shall be empowered to sign checks.

h) He shall perform all other duties as directed by the Board of Directors.

2. Duties of the Vice President:

a) He shall assume all the duties of the President in the President’s absence.

b) In the event the Board of Directors determine the President is unable to perform his duties, the 
Board shall direct the Vice President to assume the office and duties of the President.

c) He shall perform any and all duties as directed by the President.

3. Duties of the Secretary:

a) He shall record the minutes of all official meeting of the CYNACP.

b) He shall be responsible for official correspondence and maintenance of records of the Association.

4. Duties of the Treasurer;

a) He shall handle all funds of the CNYACP and deposit same in a bank approved by the Board of 
Directors.

b) He shall submit a monthly financial report to the membership at the regular meeting.

c) He shall submit a written financial report to the Board of Directors at their regular meeting.

d) He shall collect the dues of the Association.

e) He shall be empowered to sign checks.

ARTICLE IV BOARD OF DIRECTORS

A. Board of Directors

Consists of:

1. The President.

2. The Immediate Past President.

3. Three members at large. Terms shall be staggered so that one member is elected each year for 
a three-year term.

 

B. Duties of the Board of Directors

1. The Board shall have the responsibility for the direction of the CNYACP. The President will serve 
as Chairman of the Board of Directors.

2. The Board shall be required to meet annually and whenever the President calls a Special Board 
Meeting.

3. The Board shall review and audit the financial reports of the Treasurer at the annual meeting.

4. Vacancies in the Board of Officers shall be filled by majority vote by the Board of Directors for the 
duration of the unexpired term of office.

ARTICLE V PROCEDURES AND RULES OF CONDUCT

A. Meetings

1. Regular meetings of the CNYACP shall be held ten times during a calendar year, and shall be on a day 
of the month and at a location designated by the Board of Officers. During the months of July and August, 
the Association shall not conduct a regular meeting.

2. The Association membership, except Honorary members, will receive a timely written notice prior to 
all meeting, whether regular or special. The minutes of the prior regular or special meeting (s) shall be 
mailed, e-mailed, or placed on the website with the notice of the next regular meeting.

3. A quorum shall consist of 15 of the voting members of the Association.

4. All members of the CNYACP, except Honorary Members shall be eligible to vote on all of the issues and 
in all elections of this Association.

5. Order of Business:

The Roberts Rules of Order, Revised (latest edition) shall be the guide in all debates, when it is not in 
conflict with the By-Laws of this Association.

a) Pledge of Allegiance to the Flag

b) Invocation

c) Recognition of Guests

d) Program

e) President’s Remarks

f) Reading of minutes of previous meeting

g) Treasure’s report

h) Report of the Secretary – reading of communications and bills.

i) Committee Reports

j) Unfinished business including tabled issues

k) New business

l) Benediction

m) Adjournment

B. Dues

1. CNYACP membership dues are payable January 1st. A notice will be sent to each of the members the 
week of December 15th.

2. Members who have not paid membership dues by March 1st will be sent a notice of dues in arrears. 
If payment is not received by March 15th, the member will be notified that he/she is being dropped from 
the CNYACP membership.

C. Rules of Conduct

1. No CNYACP member other than the President shall make any release to the news media on behalf of 
this Association, unless authorized to do so, in advance, by the Board of Directors.

a) A member shall be appointed by the President to submit item of interest to the New York State Chiefs 
Association publication, and to other periodicals, publications, newspapers and other news media.

2. Expulsion from this Association shall be upon approval of two-thirds of the voting members present at 
a regular meeting and such expulsion shall be:

 

a) Predicated upon acts of conduct that reflect adversely upon the CNYACP and its goals, or

b) May also result from failure of a member to comply with the By-Laws of this CNYACP.

 

D. Elections

1. Nominations

a) The President shall appoint, at the September meeting, a Nominating Committee composed of two CNYACP 
members in good standing.

b) The Nominating Committee shall recommend candidates for each of the offices on the Board of Officers and 
the other Directors.

c) The Nominating Committee shall report to the Association voting membership at the regular meeting in 
October. All other nomination will be accepted from the floor at the October meeting.

2. Ballot

a) The elections for the CNYACP will be by written ballot provided by the Association’s voting members, in
good standing, present at the regular meeting in November.

b) The Officers and Directors of the CNYACP shall be elected by a majority vote of the voting members, in 
good standing, at that November meeting.

 

3. Term of Office

a) The elected CNYACP Officers and Directors will assume their positions on January 1st.

b) The Board of Officers shall be elected for a calendar year term, January 1 to December 31. Members of the 
Board of Directors other than the President and Immediate Past President shall be elected for three year terms, 
staggered so that one member at large is elected each year. The President and Immediate Past President will 
serve on the Board of Directors for one year only.

E. Amendments

1. Any change or amendment to these CNYACP By-Laws must first be given in writing to the voting membership 
at a regular meeting at which the proposed change is read.

2. Amendments to the Association’s By-Law will be acted upon by a simple majority vote of the voting members 
present, in good standing, at the next regular monthly meeting following the meeting at which the notice of 
the proposed change was read.

F. Checks

All Association checks shall be signed by the President, Vice-President when acting in place of the President, 
or the Treasurer.

G. Effective Date

These CNYACP By-Laws shall replace the Association By-Laws established on 30 June 1992 upon the approval 
of the voting membership at the 04 October 2004 meeting.
